Inner Circles of Influence Group | Confidentiality and Commitment Agreement We take confidentiality and commitment very seriously in the Inner Circles of Influence Groups. Please complete and submit our confidentiality and commitment agreement forms to be placed in an Inner Circle of Influence Group. Inner Circles of Influence Group Confidentiality Agreement: The Parties: This is an agreement between Connected Women of Influence (CWI) – The Inner Circles of Influence Group and (Your Name Typed Below in Signature), herein referred to as Member, concerning the confidentiality of information that will be shared in meetings and discussions relating to participation in the Inner Circles of Influence Group, herein referred to as Group, by other members. For the reasons explained above, Member, as a precondition to their participation in the Group, and in partial consideration, agrees and covenants with the Group as follows by checking each box as agreement: *Member agrees to maintain confidentiality: member intends to actively participate in discussions as a member of the Group. As such, discussions of confidential information, proprietary processes, ideas, challenges, business systems, operations and financials, may be discussed that are confidential in nature. Member will, in trust and confidence, hold information shared and discussed at meetings with the utmost confidence and trust. In addition, Member agrees that she will not disclose or use, in any manner any confidential or proprietary information or material concerning other members, business information, employee information, processes, financials, issues or operationsIn addition, Member agrees to not disclose or use, in any manner any confidential or proprietary information or material concerning other members, business information, employee information, processes, financials, issues, ideas or operations.Member agrees and understands that the term “confidential or proprietary information or material” means all information or material that is not in the public domain and that is disclosed or otherwise made available by Group co-members, or that comes to the attention of Member in the course of membership, discussions and participation in the Group.Member agrees that Information or material or discussion containing the co-members business, organization, finances, financial structure, financial condition, assets and liabilities, employee information, organizational structure, creditors, supporters, advisors, stockholders, and representatives are included in this confidentiality agreement.Also included in confidentiality are the company’s operations, interests and plans, including business practices and procedures, competitive position, trade secrets, product concepts, designs, blueprints, plots, plans, challenges, research results, practical and theoretical knowledge and techniques, production capacity and equipment, product development plans, technical, manufacturing, marketing, distribution and pricing approaches, material sources, costs, sales plans, development plans and customer/client information.Member understands that a breach of this Agreement would cause substantial harm to the operations, business and goodwill of the co-members of the Group.Member understands they will have access to CWI’s processes and methodologies in operating peer-to-peer advisory groups and agrees to keep these processes and methodologies confidential.Member acknowledges that she has been informed that if she breaches this Agreement, CWI, in addition to terminating Member from membership in CWI and the Group, and taking other actions available to it, may obtain preliminary and permanent court injunctions to stop the breach, and may also sue to recover from Member an amount equal to the damages caused by the breach and derived from the breach, together with all costs and expenses, including the attorney’s fees incurred by CWI and other co-members in taking such actions. This Agreement relating to confidentiality contains the entire agreement between the parties concerning the subject matter hereof and supersedes all previous agreements, understandings, whether oral or in writing, between CWI and Member with respect hereto. This confidentiality agreement extends to the time member is active in the Group and after member leaves the group. Commitment Agreement: I agree to the following for my involvement and commitment in the Inner Circles of Influence Group:*I will commit to attending meetings as scheduled and understand that the attendance requirements state that I may not miss more than one meeting during a six month period.I will arrive on time to meetings and stay for the entire meeting to support other members.If I am unable to attend a meeting, I will notify the group facilitator/leader at least one day prior to the meeting via email or text.I agree to maintain any information shared in confidence and to keep all information discussed and/or shared at meetings confidential.I will actively and enthusiastically strive to support, advise and provide ideas and/or resources to other members in what they bring to the table in issues, challenges or dilemmas that need feedback, support, advice and/or resources.I will enthusiastically celebrate the successes and accomplishments of other Inner Circle members.I will strive to implement and take advice and feedback from other Inner Circle members positively and professionally and will maintain an open attitude to new ideas and feedback from peers. I will come prepared to each Inner Circle meeting with one or a few issues, challenges dilemmas and/or updates that I will share with other members and ask for feedback, advice, counsel, resources and assistance to pro-actively move forward and advance in business.
